1. Founder Submission Policy

Plain-English summary

If you submit information to us through the founder inquiry form (or otherwise), here’s what you should know: we appreciate it. We’ll review it. But we receive a lot of inquiries, and we’re often looking at companies in similar or overlapping spaces. So we can’t treat what you send us as confidential unless we’ve separately signed something in writing that says we will, and you should not send us anything you wouldn’t be comfortable having us see in light of that. We also can’t promise a response, a meeting, or any particular timeline.

1.1 Purpose

This Founder Submission Policy describes the basis on which Metis MedTech accepts unsolicited and solicited submissions from medical device founders, operators, and other interested parties through the Website and related channels (each, a “Submission”).

1.2 What may be submitted

A Submission may include, without limitation: your name and contact information; a description of your company and team; your company’s stage, focus area, technology, and commercial strategy; a pitch deck or other supporting materials; and any other information you choose to provide.

1.3 What should NOT be submitted

You must not submit through the Website any of the following:

1.4 No confidentiality unless agreed in writing

Unless and until Metis MedTech and the submitter have executed a written confidentiality agreement specifically applicable to a particular Submission, all Submissions are deemed non-confidential and are governed by the Confidentiality & Non-Confidential Submission Notice below. Submitters are responsible for redacting or withholding any information they do not wish to share on a non-confidential basis.

1.5 No obligation; no relationship

A Submission does not create any obligation on the part of Metis MedTech, including any obligation to: respond; meet with the submitter; evaluate the Submission within any particular timeframe (or at all); maintain confidentiality (except as set forth in a separately executed written agreement); enter into any investment, advisory, consulting, or commercial relationship; or refrain from reviewing, considering, or pursuing similar or competing opportunities.

A Submission does not create any fiduciary, advisory, investment, attorney-client, broker-client, or other professional relationship between the submitter and Metis MedTech or any affiliated person or entity, including the Slump Family Office.

Additionally, Metis MedTech shall have the right to distribute any Submissions to third parties in its discretion. Metis MedTech may do so without placing any obligation of confidentiality on such third party.

1.6 Independent development; non-exclusivity

Metis MedTech and its principals review many medical device companies, technologies, and strategies, and the Slump Family Office and other affiliated investment vehicles invest in and advise multiple companies, some of which may be in the same or similar fields as those described in a Submission. Submitters acknowledge that Metis MedTech and its affiliates: (a) may currently be evaluating, advising, or invested in companies similar to or competitive with the submitter’s company; (b) may in the future evaluate, advise, or invest in such companies; and (c) may independently develop or have independently developed information, ideas, or strategies similar to those in any Submission. Nothing in any Submission shall restrict Metis MedTech or any affiliate from doing so.

1.7 License to use Submission information

By making a Submission, you grant Metis MedTech and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, fully paid-up license to access, review, store, copy, analyze, and internally use the Submission for the purposes of evaluating a potential relationship and operating their respective businesses, subject in each case to applicable law and (where applicable) any separately executed written confidentiality agreement.

You retain ownership of all intellectual property rights in the underlying content of your Submission.

1.8 No compensation for Submissions

Submissions are made voluntarily. Submitters are not entitled to any compensation, finder’s fee, referral fee, or other consideration in respect of a Submission, regardless of whether Metis MedTech or any affiliate enters into any relationship with the submitter or any third party as a result of, or following, the Submission.

1.9 How to make a Submission

The preferred method for making a Submission is via the Founder Inquiry Form on the Website. Submissions made by other means (including email, social media, or in person) are also subject to this Founder Submission Policy.

2. Confidentiality & Non-Confidential Submission Notice

Plain-English summary

Anything you send through this website is non-confidential unless we’ve signed something separately saying otherwise. We invest in and advise many companies, including some that may overlap with yours, and we need to remain free to do that. If you have something that’s genuinely confidential, please don’t send it through the website — let’s talk first.

2.1 Non-confidential by default

ALL INFORMATION, MATERIALS, AND IDEAS SUBMITTED TO METIS MEDTECH THROUGH THE WEBSITE OR ANY OTHER UNSOLICITED CHANNEL ARE TREATED AS NON-CONFIDENTIAL AND NON-PROPRIETARY, except to the extent that Metis MedTech and the submitter have executed a separate written confidentiality agreement that specifically covers such Submission.

2.2 No expectation of confidentiality

If you have information you regard as confidential or proprietary and you wish to share it with us, do not submit it through the Website. Instead, contact us at info@metismedtech.com to discuss whether a confidentiality agreement is appropriate before any disclosure.

2.4 Trade secret carve-out

Nothing in this Notice constitutes an assignment, license, or waiver of any trade secret or other intellectual property right held by the submitter, except for the limited license to use the Submission internally as described in the Founder Submission Policy.

This Notice supplements, and does not limit, any other provision of the Founder Submission Policy or the Terms & Conditions.
