These Terms & Conditions (the “Terms”) govern your access to and use of metismedtech.com (the “Website”), which is operated by Metis Consulting LLC d/b/a Metis MedTech, an Illinois limited liability company (“Metis MedTech”). Please read the Terms carefully before you start to use the Website. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not access or use the Website.

Submissions made through the Website’s Founder Inquiry Form, contact forms, or other intake mechanisms are governed by the Founder Submission Policy and the Confidentiality & Non-Confidential Submission Notice, each of which is incorporated into these Terms by reference.

You agree to defend, indemnify, and hold harmless Metis MedTech, Metis Consulting LLC, the Slump Family Office, and each of their respective members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website; (b) your breach of these Terms or any policy incorporated by reference; (c) your violation of any law or the rights of any third party; or (d) any information or materials you submit through the Website.

1.11 Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Website shall be the state and federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

1.12 Severability and entire agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the policies referenced herein, constitute the entire agreement between you and Metis MedTech regarding your use of the Website.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL METIS MEDTECH, METIS CONSULTING LLC, THE SLUMP FAMILY OFFICE, OR ANY OF THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES (COLLECTIVELY, THE “METIS PARTIES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE, ANY CONTENT, OR ANY SUBMISSION, EVEN IF A METIS PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

4.2 Aggregate cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE METIS PARTIES’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR ANY SUBMISSION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

4.3 Essential purpose

THE LIMITATIONS IN THIS SECTION ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND METIS MEDTECH AND APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
